Board mandate for the purchase by the company of its own shares
The Board holds a mandate for the purchase by the company of its own shares in accordance with Section 9–14 of
the Public Limited Liability Companies Act. This mandate is subject to the restriction that the maximum nominal
value of the shares which may be acquired by the company shall be NOK 8,750,000. The company may not at any
time acquire shares in such a way that the total nominal value owned by the company after the acquisition exceeds
10 % of the company’s share capital. The price at which shares are required must be at least NOK 1.75 per share and
no more than NOK 100 per share. The company’s holding of its own shares shall only be used in connection with
the share purchase scheme for employees approved by the Annual General Meeting. The company’s purchases and
sales of its own shares must take place through the stock exchange. This mandate is valid until the earlier of either
the date of the Annual General Meeting in 2013 or 1 June 2013.
