The share Komplett Bank’s shares are listed on the Oslo Stock Exchange with the ticker symbol KOMP. As of 31 December 2019, there were 184,119,728 shares issued with a par value of NOK 1.0. Not counting options exercised as part of the Bank’s share option programme or subscription rights, the latest share issue was in relation to Komplett Bank’s initial public offering and subsequent listing on the Oslo Stock Exchange in November 2017. At the end of 2019, the market value of Komplett Bank was NOK 2.3 billion, up from NOK 2.2 billion at the end of 2019. This equals 1.2 times the book value of the Bank’s equity as of 31 December 2019. The share price as of 31 December 2019 was NOK 12.48, compared to NOK 12.60 at the end of 2018, which corresponds to a return of -0.95% for the year. The highest recorded price for the share during the year was NOK 13.42 per share in February, while the lowest recorded price was NOK 8.63 per share in August 2019. Throughout 2019, Komplett Bank’s shares were traded on 249 out of 251 trading days at the Oslo Stock Exchange. An average 305,000 shares were traded per day, which is a total of 75.9 million shares for the full year. This corresponds to a turnover of 42% of the total number of shares issued. Voting rights Komplett Bank has one share class with equal voting rights and free transferability. Shareholders’ voting rights at the general meeting correspond to the number of shares they own and have registered with the Norwegian Central Securities Depository (VPS) at the time of the meeting. Dividend policy The Board of Directors of Komplett Bank has adopted a dividend policy to pay out excess capital which is not deployed for growth purposes in accordance with the Bank’s strategy. As of 31 December 2019, Komplett Bank has not yet paid dividends. Shareholders At the end of 2019, Komplett Bank had 2,945 shareholders and the 10 largest shareholders held 53.6% of the Bank’s shares. At the end of 2019, 143,647,254 shares were held by Norwegian investors and 40,472,474 shares were held by foreign investors, corresponding to a total foreign ownership of 22.0%. Canica Invest is Komplett Bank’s largest shareholder with 35.7 million shares, equivalent to 19.4% ownership, as of 31 December 2019. Canica Invest is also the largest owner of Komplett Bank’s commercial and strategic partner, Komplett Group. Several employees of Komplett Bank own shares and share options in Komplett Bank. Please see note 11 for details regarding the ownership of primary insiders of Komplett Bank.
